CL & Europa worst case scenario?

a long shot I know - but so was Chelsea beating Bayern on their own patch.

What would the outcome be if this happened?

Say Spurs (or Arsenal) finish 4th and Chelsea won the CL and Man Utd or Liverpool won the Europa. Would the 4th place team lose their CL spot?
